Contributing Content Creator/Vendor Agreement

Learning Charms, Inc. (hereinafter “Company”)

This Contributing Content Creator/Vendor Agreement (hereinafter “Agreement”) is entered into as of [Date], by and between Learning Charms, Inc., a North Carolina corporation with its principal place of business in North Carolina, and [Vendor’s Full Legal Name] (hereinafter “Vendor”), residing at [Vendor’s Full Address].

1. Independent Contractor Status:

Vendor acknowledges and agrees that they are an independent contractor and not an employee of Learning Charms, Inc. Vendor is solely responsible for all taxes and fees associated with payments received under this Agreement.

2. Term and Termination:

This is not a long-term agreement. Company may terminate this Agreement at any time with written notice to Vendor.

3. Content Ownership and Rights:

• Vendor agrees to provide only original content to Company. All content must use images, logos, and materials produced for commercial use only.
• Vendor assumes all liability for plagiarism or infringement of intellectual property, including copyrights, in submitted products, content, and blog posts. Vendor agrees to indemnify and defend Company against any claims arising from Vendor’s actions under this Agreement.
• Vendor’s digital resources, blog posts, graphics, printable resources, online resources, photographs, images, printable downloads, and all writing contributed to Company’s website may be hosted on the site and may remain or be removed at Company’s discretion, even after termination of this Agreement.
• Company may use all content in promotions, sales, and events, now or in the future.
• Vendor retains the right to host and sell their digital products in other places online or offline (TPT, Etsy, their own website). Company does not own sole rights to digital products submitted for sale.
• Company owns sole rights to blog posts related to products, guest blog posts, and paid contributor blog posts. Vendor agrees that written content, blog posts, or writing submitted to Company cannot be submitted or published on any other medium without Company’s written authorization.
• Company reserves the right to accept or reject any content or blog post submitted.

4. Resources and Resource Listings:

• Resources may include electronically delivered files, digital products, streaming video, physical or used goods, and other product types. Company may modify, add, discontinue support for, or limit the availability of any product type.
• A Resource, together with the Resource title, description, and other listing information, makes up a “Resource Listing.”
• Company may promote Resource Listings but is not obligated to consistent sales promotion.
• Vendor is welcome to promote their Resource Listings on personal, social media, or business-related spaces.
• All digital products, contributed blog posts, and guest blog posts will be approved before placement on the website and store. Approval does not indicate accuracy or omission of errors.

5. Accuracy of Information:

• Vendor is responsible for the accuracy of information on submitted products and blog posts. Vendor may be contacted to correct errors.

6. Payment:

• Company will pay Vendor 50% of each digital resource sale, unless otherwise stated in a different contract.
• Payments will be sent to the PayPal account listed per vendor registration by the 10th day of the month following sales.
• Vendor is responsible for paying all taxes and fees which may be levied on this payment.
• Prices listed for products may change and adjust with sales, discounts, coupon codes, or applicable fees.

7. Governing Law and Jurisdiction:

• This Agreement shall be governed by the laws of the state of North Carolina.
• Any dispute arising out of this Agreement shall be subject to the exclusive jurisdiction of the District Court in and for Mecklenburg County, North Carolina. Vendor specifically disclaims any right to bring a claim or defend a claim in any other jurisdiction.

8. Modification:

• This Agreement may be modified only in writing specifically agreed to by Company.
